Terms of Service — Sage Forecast

Effective Date: June 15, 2026

1. Acceptance

By using Sage Forecast at forecast.solutionscay.com (“the Service”), you agree to these Terms. If you do not agree, do not use the Service. These Terms are between you and Solutions Cay LLC (“Solutions Cay,” “we,” “us”).

2. Eligibility

The Service is available by invitation only to authorized staff at K-12 purchasing cooperatives. You must be 18 or older and authorized by your cooperative to use the Service.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at [email protected] if you suspect unauthorized access. Accounts are personal and may not be shared.

4. Acceptable Use

You agree to use the Service only for lawful purchasing and demand-forecasting purposes related to K-12 cooperative procurement. You may not:

  • Upload files containing data you are not authorized to share
  • Attempt to access another organization’s data
  • Reverse engineer, scrape, or bulk-extract data from the Service
  • Use the Service to transmit harmful or unlawful content

5. Uploaded Forecast Files

You are responsible for the accuracy and completeness of forecast files you upload. Solutions Cay does not validate the underlying data in uploaded files. Errors or omissions in uploaded data will affect matching and aggregation output. You represent that you have the right to upload all files you submit to the Service.

6. AI-Assisted Catalog Matching

The Service uses AI to match line items in uploaded forecast files to your cooperative’s catalog. Matches are best-effort and may contain errors. You are responsible for reviewing and verifying matching results before distributing aggregated demand output to vendors or other parties. Solutions Cay makes no warranty regarding the accuracy or completeness of AI-assisted matching.

7. Exported Output

Aggregated demand output is made available for export from the Service. Once exported, Solutions Cay is not responsible for how exported data is distributed, used, or stored by your organization or third parties. You are responsible for ensuring exported data is handled in accordance with your cooperative’s agreements with member districts and vendors.

8. Data Ownership and Isolation

You retain ownership of all forecast files and catalog data you upload. Your organization’s data is logically isolated from other cooperatives on the platform using row-level security controls. Solutions Cay will not share your data with other organizations on the platform.

Solutions Cay may use aggregated, anonymized, non-identifiable usage data to improve the Service.

9. Intellectual Property

The Service, including its software, matching logic, and design, is owned by Solutions Cay. Uploaded data and exported output belong to your organization.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. SOLUTIONS CAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOLUTIONS CAY DOES NOT WARRANT THAT CATALOG MATCHING OR DEMAND AGGREGATION OUTPUT IS ERROR-FREE OR FIT FOR DISTRIBUTION WITHOUT REVIEW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOLUTIONS CAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING DAMAGES ARISING FROM RELIANCE ON MATCHING RESULTS OR EXPORTED OUTPUT. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms or at our discretion. You may close your account by emailing [email protected]. Upon termination we will delete your organization’s uploaded data within 30 days upon written request.

13. Governing Law

These Terms are governed by the laws of the State of Texas. Disputes shall be resolved in the state or federal courts of Collin County, Texas.

14. Changes

We may update these Terms. We will notify you by email. Continued use after changes constitutes acceptance.
